Google To Acquire Motorola; Aims For Patent And Smartphone Supremacy

Google & Motorola have announced  that Google (GOOG) will be  acquiring  Motorola Mobility Holdings, Inc. (MMI). A definitive agreement has been reached and the details are as follows: Google will acquire Motorola at a premium of 63% over Motorola Mobility shares as on Friday, August 12th. This means that Google will pay $40.00 per share in cash, amounting to $12.5 billion . This news was received very well by the market, with Motorola’s stock shooting up . However, Google will continue running Motorola Mobility as a separate business and the open nature of its Android will be unaltered . Larry Page, CEO of Google said , “Motorola Mobility’s total commitment to Android has created a natural fit for our two companies. Together, we will create amazing user experiences that supercharge the entire Android ecosystem for the benefit of consumers, partners and developers. I look forward to welcoming Motorolans to our family of Googlers. ” Sanjay Jha, CEO of Motorola Mobility commented , “ This transaction offers significant value for Motorola Mobility’s stockholders and provides compelling new opportunities for our employees, customers, and partners around the world. We have shared a productive partnership with Google to advance the Android platform, and now through this combination we will be able to do even more to innovate and deliver outstanding mobility solutions across our mobile devices and home businesses. ” However, the real reason for Google’s acquisition may be something else ; Patents . While Motorola may not have such a large market share in the smart-phone segment, they do have a large number of valuable patents credited to their name; 12,000 issued patents and 7500 patent applications. Over the past year or so, the Patent war has escalated to an extraordinary levels. We had reported earlier on how Patents Are Stifling Innovation with an official  blog post last week on the patent war and its bad effects. The patent war has gotten so bad that even companies like the developers of Angry Birds  had been affected. Samsung too has had to suspend shipments of its Galaxy Tab 10.1 in certain markets, and pay Microsoft for patents . By acquiring Motorola Google will be in a much better position to defend itself and its partners from such attacks.  However, people are wondering why Google didn’t take the cheaper option of buying Motorola’s patents outright, instead of an acquisition. This could be a n indicator that Google wants to get into the phone hardware game. Earlier, they used to release one Nexus device a year to ‘point the industry in the right direction’. There Are 851.7 Million Mobile Phones In India, Reveals a Survey

Every day we read and hear from various sources on how India has a large base of mobile phone users. Well, the fact is proven now as according to a recent official data released on Monday, India with 1.2 billion people , now has 851.7 million mobile phone subscribers, with 11.41 million connections added in June itself. According to the Telecom Regulatory Authority of India (TRAI) , the wireless user base grew 1.36 percent , from 840.28 million in May. The data revealed that the broadband subscriber base grew 1.64 percent from 12.12 million in May to 12.32 million in June 2011. Therefore the total number of telephone subscriber base touched 885.99 million , registering a substantial growth of 1.29 percent. “ However, of the total 851.70 million wireless subscribers in March, only 594.77 million were active subscribers on the date of peak visitor location register (VLR). VLR is an impermanent database of the subscribers who have roamed into the particular area which it serves. Each base station in the network is served by exactly one VLR, hence a subscriber cannot be present in more than one VLR at a time ,” —-IANS So what is causing such a mammoth rise in mobile phone usage in India? According to Parul Mehta, Senior Executive at Micromax the availability of cheap handsets and affordable calling plans has ensured that everyone owns a handset. “ Especially in smaller towns and rural areas where landlines is still scarce, mobile phones have come as a savior ”, she added. This could be true as since the divide of urban subscribers declined to 66 percent from 66.02 percent , the share of rural subscribers slightly increased from 33.98 percent to 34 percent, the report revealed. So who are the leading service providers? The growth in this category was initiated by telecom ruler Bharti Airtel , which added 2.12 million users to take its subscriber base to 169.19 million users. Reliance Communications followed next with an addition of 2.1 million new subscribers, taking its subscriber base to 143.27 million. Vodafone added 2.1 million subscribers to take its total number of customers to 141.5 million. Idea Cellular added 1.36 million subscribers, increasing its subscribers count to 95.1 million while Uninor added 9,43,924 million subscribers to have 26.33 million subscribers. Vodafone’s $2.5 Billion Indian Tax Bill Could Double To $5 Billion

Vodafone, which has to pay an Income Tax Bill of Rs. 12,297 Crore or around $2.5 billion , could now double in its amount. Vodafone’s CFO Andy Halford was quoted saying that Indian IT authorities could impose penalties for non payment to to tune of $2-2.5 billion. Vodafone owes taxes related to its 2007, $10.9 billion acquisition of Hutchison Essar or Hutch , according to the IT authorities. In April, the Supreme Court asked the country’s tax office to restrain from enforcing penalties on Vodafone until an order is passed after a case hearing in July, but allowed it to continue with its proceedings. Vodafone can take consolation that it is not the only service provider to face problems in the Indian Telecom Industry. Fierce competition and a large number of players have made it a difficult market to crack. Doubling of the tax payable to $5bn can have a huge impact on the balance sheet, but being one of the largest service providers in India and the world, the company should be able to absorb it.
